Please read these Terms before placing an order. By ordering, you agree to them.

Agreement to These Terms

These Terms & Conditions ("Terms") are a binding agreement between you and HOLOS, LLC ("HOLOS," "we," "us") and apply to your use of store.holoshq.com and every purchase you make from us. Our Return & Refund Policy and Privacy Policy are part of these Terms.

By creating an account, placing an order or ticking the confirmation box at checkout, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the site or place an order.

Who Can Buy

To buy from HOLOS you must:

Be at least 21 years old.
Be purchasing solely for lawful in vitro or laboratory research, and be qualified to handle research materials.
Be located in the United States and have products shipped to a United States address.
Provide information at checkout that is true, accurate and your own, and use a payment method you are authorized to use.

We may ask for information to confirm eligibility, and we may refuse or cancel any order or account at our discretion.

Research Use Only

All HOLOS products are supplied strictly for laboratory research use only. They are not drugs, foods, dietary supplements or cosmetics. They have not been evaluated or approved by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, mitigate or prevent any disease.

You agree that you will not:

Use, or allow anyone to use, any product in or on humans or animals, including by ingestion, injection, inhalation or topical application.
Use any product for diagnostic, therapeutic, medical, veterinary, cosmetic or food purposes.
Resell, relabel, repackage or distribute any product for human or animal use, or represent any product as fit for that use.

HOLOS does not provide medical advice, dosing guidance, protocols or instructions for personal use, and nothing on our site, in our emails, texts or social media, or from our team or partners is medical advice. If we believe an order is intended for anything other than lawful research, we may cancel it.

Product Information

We work to describe products accurately. Product descriptions, specifications, certificates of analysis (COAs) and any research references are provided for informational and research reference only. COAs reflect testing of a specific batch and are not a guarantee of any outcome. Images are for illustration and packaging may vary.

Orders and Pricing

Placing an order is an offer to buy. An order is accepted when we ship it. Prices are in U.S. dollars and may change at any time without notice, except as described in the subscription terms below.

We may limit quantities, and we may refuse or cancel any order before it ships, including for pricing, listing or typographical errors, items that are unavailable, suspected fraud or unauthorized payment, or any indication that products are intended for anything other than lawful research. If we cancel an order after charging you, we refund the full amount to the original payment method.

Discount codes have no cash value, can't be combined unless we say so, and may be changed or withdrawn at any time.

Payment

Payments are processed securely by our payment processor. Your card number is entered into the processor's secure form and is never stored on our servers. You authorize us to charge your payment method for the total shown at checkout, including taxes and shipping. Charges appear on your statement as HOLOS.

Subscriptions (Subscribe & Save)

If you choose Subscribe & Save, you agree to recurring charges as shown at checkout and in our Subscription terms, which are repeated here:

How it works
When you choose Subscribe & Save, you authorize HOLOS, LLC to charge the card saved at checkout automatically on each delivery date, at the frequency you chose (every 1, 2 or 3 months), until you cancel. Each charge is for your subscribed items at the then-current price less your subscription discount (currently 15%), plus shipping and any applicable tax. Your first subscription order is 10% off. Every subscription delivery, including the first, comes with free Sterile Dilution Medium while this offer lasts: enough to reconstitute your subscribed vials, in 3ml or 10ml vials. Coupon codes don't combine with subscription pricing. If an item is out of stock on a delivery date, we ship what's in stock and only charge for what ships.

Reminders and receipts
We email you 3 days before every charge with the date, the items, the estimated amount and a link to manage your subscription. After every charge you get an order receipt, and a tracking email when it ships. Charges appear on your card statement as HOLOS.

Change or cancel any time
You can skip, delay, change how often, change quantities, update your card, pause or cancel online any time at My Account → Subscriptions. No call or email needed. Cancelling stops all future charges immediately, and we email you a confirmation. You can also cancel by emailing info@holoshq.com.

Renewals charged by mistake
If a renewal was charged and you contact us before that order ships, we cancel it and refund it in full. Once a renewal order has shipped, it is final, like every HOLOS order, under the All Sales Final policy above. Damaged or incorrect items are handled the same as any order (contact us within 48 hours of delivery with photos).

Declined payments
If a charge is declined, nothing ships. We try again up to two more times over the next few days and email you each time. After the third decline your subscription pauses until you update your card.

Research Use Only
Subscriptions are for the same Research Use Only products, under the same terms you accepted at checkout. They are not for human or veterinary use.

Shipping and Risk of Loss

We ship within the United States only. Delivery times are estimates, not guarantees. Title and risk of loss pass to you when the carrier delivers the order to the shipping address entered at checkout. An order shown as delivered by the carrier's tracking is considered delivered. Lost, undelivered and damaged shipments are handled as described in our Return & Refund Policy.

You are responsible for an accurate shipping address and for complying with all laws that apply to receiving, storing and using research materials where you are.

Returns and Refunds

All sales are final once shipped. Returns, refunds, damaged or incorrect items, lost packages, gift cards and payment disputes are governed by our Return & Refund Policy.

Your Responsibility and Assumption of Risk

Research materials must be handled only by qualified people, following appropriate safety practices. You are solely responsible for how products are stored, handled and used after delivery, and you assume all risks that come from that handling or use.

Disclaimer of Warranties

Except as expressly stated in these Terms, products and the site are provided "as is" and "as available." To the fullest extent permitted by law, HOLOS disclaims all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. HOLOS makes no warranty that any product is suitable for any particular research application.

Limitation of Liability

To the fullest extent permitted by law, HOLOS and its owners, employees, partners and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising from or related to the site, any product or these Terms. HOLOS's total liability for any claim is limited to the amount you paid for the product that gave rise to the claim.

Some states don't allow certain limits on liability, so some of these limits may not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless HOLOS and its owners, employees, partners and suppliers from any claims, losses, damages, liabilities and costs (including reasonable attorneys' fees) arising from your misuse of any product, any use of a product in or on humans or animals, your violation of these Terms, or your violation of any law or the rights of anyone else.

Accounts

You are responsible for keeping your login details secure and for all activity on your account. Tell us right away at info@holoshq.com if you believe your account has been used without your permission. We may suspend or close accounts that violate these Terms or have disputed charges.

Emails and Text Messages

Order and account messages. By placing an order or starting a subscription with a mobile number and email address, you agree to receive transactional emails and text messages about it at the number and address you provided, such as payment links, receipts, shipping and tracking updates, subscription charge reminders, declined-card notices and account notices. These messages are part of the service you ordered. Message frequency varies with your orders. Message and data rates may apply. Reply STOP to stop texts or HELP for help at any time.

Marketing messages. Marketing emails and texts, such as cart reminders, offers and win-back messages, are sent only if you opt in. If you check the text opt-in box at checkout, you agree to receive recurring automated marketing texts at the number you provided. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. You can unsubscribe from marketing emails using the link in any email.

Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your number.

Site Content

The HOLOS name, logo, site design, text, images and other content belong to HOLOS or its licensors and are protected by law. You may not copy, reproduce or use them for commercial purposes without our written permission.

Disputes, Arbitration and Class Action Waiver

Please read this section carefully. It affects how disputes are resolved.

Talk to us first. Before filing any claim, you agree to contact us at info@holoshq.com with a description of the issue and give us 30 days to try to resolve it.

Binding arbitration. Any dispute that isn't resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. Either party may instead bring an individual claim in small claims court if it qualifies.

No class actions. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative action, and the arbitrator may not combine claims of more than one person.

Opting out. You may opt out of this arbitration agreement by emailing info@holoshq.com within 30 days of your first purchase, with your name and the words "arbitration opt-out."

Governing Law

These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law rules. Any matter not subject to arbitration will be brought in the state or federal courts located in California, and you consent to their jurisdiction.

General

Changes. We may update these Terms. The version in effect when you placed an order applies to that order. We email active subscribers before a material change to subscription terms applies to their next charge.
Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
No waiver. Not enforcing a part of these Terms is not a waiver of our right to enforce it later.
Events beyond our control. We are not responsible for delays caused by events outside our reasonable control, such as carrier delays, weather or supply interruptions.
Entire agreement. These Terms, our Return & Refund Policy and our Privacy Policy are the entire agreement between you and HOLOS about the site and your purchases.
